Is S.H.I.E.L.D. dead after Secret Invasion?

I know I should not be watching G4TV’s Attack of the Show this and should be getting the chest pains I have looked at but man, I am a comic book geek, I can’t help myself. It’s my freaking addiction!
So have a watch and you tell me, what did Bendis! leak that an institute of the Marvel Universe will be gone?! My bets on S.H.E.I.L.D. as I think it is the obvious choice.
Oh and Nick Fury makes his appearance (if not sooner) by the end of this month in Mighty Avengers #12 previews which can be seen here:

I wonder if he meant that literally… I mean, one could refer to Steve Rogers as Captain America as an institution of the Marvel Universe, you know?

Yeah very true but who else is an institution like Cap? Wolverine? Iron Man? Thor (oh that would be nice)?
